This disclosure is not a breach of any obligation of confidentiality or other obligations under this Privacy Policy.

Service Level Agreement (to be read in conjunction with our invoices)

BETWEEN: As listed on the front side of any Invoice or Quote ("the Client")

AND: Geoffrey D. Ellis Pty Ltd trading as Macarthur Business Advisors, Macarthur Business Brokers, BrokerVault, Profit Advantage Group or Macarthur Business Recoveries ("the Service Provider") as applicable. A reference to the Service Provider includes a reference to its employees, agents, associates and to any other person performing any act, matter or thing on behalf of the Service Provider.

The Service Provider agrees to carry out the work in a proper and workmanlike manner on the following basis:

  1. The Service Provider’s Current Schedule Daily Rate is as quoted olr invoiced.
  2. The Service Provider’s Schedule Half Day Rate is 60% of the Daily Rate 
  3. The Service Provider’s Schedule Hourly Rate is 20% of the Daily Rate
  4. The Service Provider’s Schedule Rates are revised 6 monthly on the 1st of January & 1st of July each year.
  5. Invoices for ongoing work will be raised monthly in advance as per the front side of any invoice or quote.
  6. A Cancellation Fee will be charged up to 75% of the daily rate for cancellations within 48 hours of a scheduled meeting
  7. Invoices are due seven (7) days from the date of each invoice issue – we will always ask for payment in advance and due on the first on the month.
  8. We reserve the right to charge a Later Payment Fee at the rate of 1% per month (compounding monthly) when an invoice remains unpaid in excess of thirty (30) days.
  9. This Service Level Agreement will be a continuing authority and will be effective for future years unless we advise The Client’s of any change in the arrangement.
  10. This Service Level Agreement shall be effective between the Parties unless an alternative Agreement is separately executed.

The Client may terminate the Work if:

  1. The Service Provider does not carry out the Work in a proper and workmanlike manner according to the specifications of the Client; or 
  2. The Service Provider, its servants or agents are guilty of serious misconduct, in which event the Client shall pay to the Service Provider the amount then due in respect of the Work satisfactorily done calculated to the date of termination of the Work delivered to the Client.
  3. The Client may terminate the agreement by giving one (1) month notice by e-mail, facsimile, or otherwise in writing to the Service Provider of their intention to do so.

The Service Provider may terminate this agreement by giving one (1) month notice by e-mail, facsimile, or otherwise in writing to the Client if the Client fails to make any payment to the Service Provider on the due date or if the Service Provider deems they are no longer able to work with the Client or if the Client is wound up or any of its assets are sequestrated, in which event the Service Provider reserves its right to claim from the Client all amounts due and owing to the Service Provider by the Client, including legal costs incurred. 

The Service Provider:

  1. Shall obtain all necessary insurance cover in respect of the Work as is required by law, including public liability and professional indemnity cover.
  2. Shall strictly comply with all laws and regulations and the requirements of any local Government authority relating to the Work. 
  3. Works with information provided by others and we cannot accept responsibility for the truth and accuracy of those representations.
  4. May bring to The Client’s attention any material weaknesses in The Client’s systems which come to The Service Provider’s attention during the engagement.
  5. Retains copyright & all intellectual property rights in the systems & documentation developed and allows the Client to use them for internal purposes under unrestricted licence that are not transferable.

Other Conditions:

  1. For Corporate clients, the person accepting The Service Provider’s Letter of Appointment warrants that he/she is authorised to accept this Appointment and he/she shall be jointly, severally and personally bound by the conditions of this Appointment including the payment of The Service Provider’s fees and expenses.
  2. If The Client provides The Service Provider with verbal instructions The Service Provider will treat those as an acceptance of the terms of engagement and/or modification thereto.
  3. Any recovery costs that are incurred, due to outsourcing to a third party to collect the outstanding monies from the client, will be borne by the Client. 
  4. The Client acknowledges that to assist with a record of meetings that some meetings may be openly recorded.
